1. Acceptance of Terms

By accessing or using the ekflow GuIA service (the "Service"), including our Chrome extension, web application, and related APIs, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ekflow GuIA is an AI-powered technical support assistant for Enterprise Resource Planning (ERP) systems. The Service includes:

• Chrome Extension: A browser extension that provides contextual assistance while using supported ERP systems.
• Knowledge Base: A document repository where organizations can upload manuals and procedures for AI-assisted responses.
• AR Overlay: Visual step-by-step guides overlaid on ERP screens for training purposes.
• Analytics Dashboard: Usage statistics and insights for organization administrators.

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Organization Accounts

Organization administrators may invite users to join their organization's workspace. Administrators are responsible for managing user access and ensuring compliance with these Terms.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account. We are not liable for losses caused by unauthorized access to your account.

4. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload malicious content or malware
• Scrape, data-mine, or extract data from the Service without permission
• Resell or redistribute the Service without authorization
• Use the Service to develop competing products
• Circumvent usage limits or security measures
• Share account credentials with unauthorized users
• Upload content that infringes intellectual property rights

5. Subscription and Payments

5.1 Pricing

The Service is offered through various subscription tiers with different features and usage limits. Current pricing is available on our website and may be updated with 30 days notice.

5.2 Credits System

Business plans include a monthly allocation of credits. Credits are consumed based on the complexity of AI queries. Unused credits do not roll over to the next month.

5.3 Billing

Subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method for all applicable fees.

5.4 Refunds

Subscription fees are non-refundable except as required by law or at our discretion. If you cancel mid-cycle, you will retain access until the end of your billing period.

6. Intellectual Property

6.1 Our Content

The Service, including its software, design, documentation, and AI models, is owned by ekflow and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

6.2 Your Content

You retain ownership of content you upload to the Service (documents, chat history). By uploading content, you grant us a limited license to process it for providing the Service.

6.3 Feedback

Any suggestions or feedback you provide may be used by us without obligation to you.

7. AI-Generated Content

The Service uses artificial intelligence to generate responses. You acknowledge and agree that:

• No Guarantee of Accuracy: AI responses may contain errors, inaccuracies, or outdated information. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
• Not Professional Advice: AI responses are for informational purposes only and should not be considered as professional, legal, financial, or technical advice.
• Verification Required: You are responsible for verifying AI-generated content before acting on it, especially for critical business processes or transactions.
• Context Limitations: The AI assistant has access only to the information visible on your current screen and your organization's knowledge base. It does not have access to your complete ERP data or transaction history.
• No Autonomous Actions: The AI assistant provides information and guidance only. It does not execute transactions, modify data, or perform actions in your ERP system on your behalf.

7.1 Training Data Disclaimer

The AI models that power GuIA have been trained on general knowledge and your organization's uploaded documentation. However:

• Your chat messages and ERP context are NOT used to train AI models.
• AI responses are generated in real-time and may vary between sessions.
• We may use anonymized, aggregated usage patterns to improve the Service, but never individual conversations or sensitive data.

8. Chrome Extension Terms

8.1 Browser Permissions

The GuIA Chrome extension requires certain browser permissions to function. By installing the extension, you consent to:

• Page Context Access: Reading the title, URL, and structure of ERP pages to provide contextual assistance.
• DOM Access: Reading page structure to display visual training overlays and extract field labels (not values).
• Screenshot Capture: Only when you explicitly consent and initiate a support escalation with screenshot.

8.2 Domain Restrictions

The extension only activates on ERP domains configured by your organization's administrator. On all other websites, the extension remains completely inactive and collects no data.

8.3 Data Collection Scope

The extension collects:

• Page titles and URLs (to identify ERP screens)
• Form field labels and types (NOT values you enter)
• Validation error messages displayed on screen
• Your chat questions and feedback

The extension does NOT collect:

• Values you type in form fields
• Passwords or credentials
• Cookies or session tokens
• Browsing history outside configured ERP domains

8.4 Visual Training Features

If your organization enables visual training features, the extension may display interactive overlays (tooltips, highlights, step-by-step guides) on ERP screens. These overlays:

• Are controlled by your organization's administrators
• Only read element positions for display purposes
• Do not extract or transmit any data from the page

9. Data and Privacy

Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Service Availability

10.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. Enterprise plans include Service Level Agreements (SLAs) with specific uptime commitments.

10.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice when necessary for security or stability.

10.3 Modifications

We reserve the right to modify, suspend, or discontinue features with reasonable notice. Material changes will be communicated at least 30 days in advance.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
• We are not responsible for actions taken based on AI-generated recommendations.

12. Indemnification

You agree to indemnify and hold harmless ekflow, its affiliates, and employees from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings or by contacting support.

13.2 By Us

We may suspend or terminate your access for violation of these Terms, non-payment, or extended inactivity. We will provide notice except in cases of serious violations.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain your data as required by law or for legitimate business purposes. You may request data export before termination.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@ekflows.com to attempt resolution.

14.2 Governing Law

These Terms are governed by the laws of the jurisdiction where ekflow is incorporated, without regard to conflict of law principles.

14.3 Arbitration

Disputes that cannot be resolved informally will be submitted to binding arbitration. Class actions and class arbitrations are waived.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ekflow.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Updates: We may update these Terms with 30 days notice. Continued use after changes constitutes acceptance.
